With more than 20 years of experience as a corporate attorney, Deborah Mayo focuses her practice on commercial, real estate and international business matters. She represents clients across a broad range of industries, from real estate and hospitality to biomedical technology and transportation.
She assists clients with domestic and international mergers and acquisitions, joint ventures, strategic alliances, private securities offerings and fund formation for both real estate and private equity. Deborah handles the structuring, negotiation and documentation of these transactions, as well as the drafting of related business contracts, such as shareholder, partnership and limited liability company agreements. Deborah’s tax background adds depth to her practice, enabling her to provide value-added counsel on the tax planning issues that arise during the course of a transaction.
Deborah has extensive experience with fund formation. She regularly advises clients on matters related to developing capital, second round offerings, private placement structuring and lender approval. Specifically with real estate funds, Deborah handles the negotiation of asset acquisition, purchase and sale contracts, and remittance proceedings to foreign courts.
In addition, Deborah counsels start-up and emerging growth companies in a variety of areas, including entity formation, corporate governance, and finance. She is knowledgeable on numerous financing sources, such as angel, venture capital, private equity and bridge financing.
