Samantha Fitzgerald’s practice focuses on taxation with an emphasis on federal and state tax matters. She represents clients, specifically privately held businesses and high-net-worth individuals, with respect to the tax issues involved in planning, structuring and negotiating of business operations, transactions and financings. Samantha’s experience with tax law enables her to develop tax-efficient solutions that meet specific client needs. She also helps clients resolve disputes with the Internal Revenue Service and other taxing authorities.

A significant portion of Samantha’s practice is dedicated to the representation of exempt organizations, including private foundations, public charities and trade associations. She regularly obtains and defends an organization’s exempt status and provides counsel on a variety of tax issues, such as the structuring and implementation of charitable gifts.

Samantha’s tax practice provides her with numerous opportunities to integrate business succession and estate planning into a client’s overall tax strategies, and in this regard, she has assisted clients in the creation of trusts, family limited partnerships and private foundations. Samantha’s practice also includes the full range of estate planning matters, including wills, powers of attorney and health care surrogates.

In the corporate arena, Samantha advises clients regarding entity selection, corporate governance and restructuring. She also handles the preparation of complex agreements, such as operating, partnership, shareholder, joint venture and option agreements.
